Musecode Studio Terms & Conditions

1. Introduction

Welcome to Musecode Studio (“we”/“us”/“MCS”). By engaging our services or paying any fees (initial or ongoing), you (“the client”) agree to these Terms & Conditions.

2. Services & Deliverables

  • We provide website design, branding, social media kit, ongoing care, and other agreed-upon services.

  • A detailed scope is provided in project proposals. Additional work outside the agreed scope may require extra fees.

3. Fees & Payment

  • One-Time Project Fee is due as specified (commonly 50% upfront, remainder on launch).

  • Monthly Care Plan is invoiced monthly and payable 5 days before the period begins.

  • Failure to pay on time may result in service suspension or site downtime.

  • Wix hosting, domain purchase, and renewals are included in monthly fees.

  • Add-ons (Business Kit, Social Kit, etc.) are invoiced separately, per project.

4. Revisions & Approval

  • Each service has a limited number of revisions (see proposal).

  • Further changes after approval are billed at R650/hour.

  • Final sign-off is required before site launch. After sign-off, additional work is considered out-of-scope.

5. Timeline & Delays

  • We provide estimated timelines; these are approximate.

  • Delays caused by client (e.g. late feedback/content) may pause our timeline; extensions may incur additional design time.

  • Express turnarounds are available for fee; please request in writing.

6. Ongoing Care

  • Monthly Care Plans run for a minimum of 12 months.

  • Either party may cancel with 30 days’ written notice after the minimum period.

  • On cancellation, we’ll transfer necessary assets and client will be responsible for Wix and domain renewal.

7. IP & Ownership

  • Clients own finished deliverables once all fees are paid.

  • MCS retains ownership of templates, processes, and proprietary materials.

  • MCS may showcase work in portfolio and marketing materials unless otherwise agreed.

8. Confidentiality

  • Both parties agree to confidentiality of sensitive information.

  • MCS may refer to the client’s styled brand and project in case studies and marketing, unless client opts out in writing.

9. Liability & Warranties

  • MCS will not be liable for any indirect or consequential losses (including loss of income or business).

  • We warrant that work will be original or appropriately licensed.

  • Clients must indemnify MCS against third-party design or legal claims resulting from provided content.

10. Termination

  • MCS may terminate agreement due to client breach (including late payment) after giving 14 days’ notice.

  • If terminated, client remains liable for all fees incurred up to termination date.

11. Force Majeure

  • MCS isn’t responsible for delays caused by events outside our control (e.g., power outages, internet failures, pandemics).

12. Governing Law & Disputes

  • Terms are governed by South African law.

  • Any disputes will first be attempted to resolve through mediation before escalating to formal legal channels.

13. Updates to Terms

  • MCS may update these terms. Clients will be informed of any material changes.

  • Continued service implies agreement to the updated terms.

14. Acceptance

By paying any fees or engaging MCS’s services, you confirm that you’ve read, understood, and agree to these Terms & Conditions.
